General Counsel
USA Track & Field (USATF) is seeking an experienced corporate/transactional attorney to assume the position of General Counsel and Director of Business Affairs. This position reports directly to the CEO. Candidates must have a minimum of ten (10) years law firm and/or in-house counsel practice experience, as well as knowledge of the sports law industry. Knowledge of, or experience with, the Olympic Movement and/or national sports leagues and governing bodies is desired. The successful candidate will have substantial contract drafting and negotiation experience, outstanding analytical capabilities and possess well developed diplomacy skills. The ability to communicate clearly and effectively with a diverse constituency is an important job qualification. Alternative dispute resolution, mediation or general litigation experience or oversight will be viewed favorably. The ability to function effectively in a complex organization whose interactions implicate national and international relations is a vital qualification for the successful candidate.
Specific assignments may include
* Corporate governance: Corporate filings; drafting of bylaw and regulation provisions; interpretation of domestic and international laws, bylaws, rules and regulations; maintaining familiarity with federal and state laws that govern nonprofit and for profit organizations (corporate, intellectual property, risk management, tax, ethics, technology, privacy, etc. ); advising Board and senior management on all of above.
* Alternative dispute resolution system management and mediation: Managing ADR processes for USATF - National Athletics Board of Review (NABR), Background Screening Review Panels and Boards; and mediation of disputes.
* Contract drafting and negotiation. (Sponsor, supplier, event, multimedia, licensing, merchandising, consultant, vendor, personal services and other contracts.)
* Intellectual property: Protection of USATF's intellectual property through registrations (outside counsel) and monitoring of misuse and policing (cease and desist) letters.
* Olympic law: Knowledge of and ability to interpret: IOC Charter, Ted Stevens Olympic & Amateur Sports Act, USOC Constitution and Bylaws, IAAF Competition Rules.
* Litigation: Supervise and manage outside litigation and arbitration counsel.
* Policy: Advise USATF leadership on legal and policy matters related to the interplay of all of the above and its impact on the USATF Strategic Plan objectives.
* Negotiations with municipal governments and sports commissions.
* Assist CEO in strengthening relationships with leading sports organizations or foundations.
* Lead USATF strategy on Title IX.
Salary
Salary is commensurate with experience.
